A current report used by public companies to disclose specified material events and other information under numbered items.

Definition

Form 8-K organizes current disclosures under numbered items covering agreements, financial results, bankruptcy, acquisitions, securities, governance, director and officer changes, plan blackouts, and other events.Many items have a four-business-day deadline, but timing, triggering events, exhibits, safe harbors, and exceptions depend on the item.

Form 8-K is organized by numbered disclosure items. Its event and acceptance timestamps can anchor chronology around Form 4 activity, but chronology alone does not establish motive, MNPI, or sentiment.

Items Relevant to Ownership Research

Item 1.01 can disclose material agreements; Item 2.01 acquisitions or dispositions; Item 2.02 results; Item 3.02 unregistered sales; Item 5.02 director and officer changes or compensation arrangements; Item 5.04 certain plan blackouts; and Item 8.01 other events. Exhibits often contain the operational detail.

Many items are due within four business days, but the trigger, due date, safe harbor, and amendment treatment depend on the item. Store event date separately from filing and acceptance time.

Dataset Method and Common Errors

Extract accession, item numbers, event date, filing and acceptance timestamps, amendment status, exhibit identifiers, named people, issuer CIK, and linked filing text. Compare with Form 3 or Form 4 chronology using CIKs and dates.

Common errors: treating every 8-K as material in the same way; inferring a later trade reacted to the filing; ignoring exhibits; and comparing filing date when the underlying event occurred earlier.
