Definition

Executive compensation can include salary, cash incentives, stock awards, options, performance awards, pensions, deferred compensation, benefits, and other arrangements. DEF 14A provides annual compensation context, while Forms 3, 4, and 5 report covered ownership positions and changes.

Executive compensation links proxy disclosure with Forms 3, 4, and 5. Grant-date fair value, realized compensation, transaction price, and nominal Form 4 value are distinct measures.

Compensation Lifecycle

A compensation program can move through board approval, grant, performance measurement, vesting, exercise, settlement, tax withholding, holding, and sale. DEF 14A describes annual compensation and outstanding awards; Form 4 reports covered ownership changes as they occur.

RSUs, performance units, restricted stock, options, and deferred stock have different terms. The same award can generate Code A, M, F, and later S records at different dates.

Common errors: adding proxy fair value to Form 4 flow; calling Code A buying; calling F selling; treating target compensation as earned; and ignoring performance or forfeiture conditions.
